Stallion Service Agreement
The Stallion Service Agreement for the 20__ breeding season, by and between Benbar Farm (hereinafter referred to as the Stallion owner) and _____________________ (hereinafter referred to as the Mare owner) is as follows:

2. BREEDING AGREEMENT
A) Semen Transport
Benbar Farms shall collect, prepare for shipment, and ship live semen, or frozen semen at Stallion owner's request in viable condition to the Mare owner at an address agreed to by the Mare owner and Benbar Farms, which is serviced by Federal Express (Next Day Delivery), or the equivalent, for next day delivery. Benbar Farms will only collect the Stallion on Mondays, Wednesdays, and Fridays, unless otherwise agreed to, and the Mare owner must give notice of its need for semen by 12:00 p.m. EST, the day before desired delivery. Benbar Farms assumes responsibility only to ship live semen, or frozen semen, in viable condition at the time of collections. The semen must be administered by a licensed veterinarian on the day of delivery to the Mare owner or its designee in order for the included guarantee to apply.
B) On Site Breeding
Beginnings shall culture, tease, and prepare the Mare for insemination by a veterinarian. All horses at Benbar Farms are bred by artificial insemination; there will be no live cover. The Mare owner shall assume all costs incurred by the said Mare, including, but not limited to Board, Insemination Fees, Farrier, and Stallion handling fees. Benbar Farms assumes responsibility only to have the Mare inseminated with live semen, or frozen semen at the Stallion owner;s request, in viable condition by a veterinarian as close to ovulation as possible. The Mare owner will assume all liability for the Mare.
3. FEES AND EXPENSES
A. The stud fee for the above named Stallion shall be $750.00 and shall be payable by cash or certified check prior to the first shipment of semen, unless otherwise agreed by the Mare Owner and Stallion Owner in writing.
B. A handling fee for transported semen of $200.00 shall be payable in cash or certified check upon the execution of this contract, which must be returned by the Mare owner to Benbar Farms prior to the shipment of any semen. This handling fee covers the veterinarian fees for one collection, the expense of one shipment of semen, and the use of a container for that shipment. All fees for subsequent shipments will be billed by Benbar Farms directly to the Mare owner and shall be paid in full and in cash or certified check within ten days of the statement date. A refusal of the Mare owner to receive delivery of a shipment will not release the Mare owner of its responsibility to pay the handling fee.
NOTE: Refers to additional collections and shipments. The first collection is part
of the stud fee and the only additional charge is the FedEx fee.
C. Mares that are to be bred at Benbar Farms will be charged a day rate of $17.00 per day, with or without foals, and a handling fee of $17.00 for each breeding cycle.
D. A container (blue Equitainer only) late return fee of $30.00 will be charged if not returned within eight working days after shipment is received by the Mare owner or its designee.
E. Should the above Mare not produce a live foal after two breeding seasons as stipulated within this contract, the Mare owner may renew this contract for one additional breeding season at a fee of $400.00, with the approval of Benbar Farms and the Stallion owner.
4. CONDITIONS OF ACCEPTANCE
The Mare owner acknowledges and agrees that:
1) Prior to insemination, Benbar Farms will be furnished with a Veterinarian;s Certificate of Health, and a negative uterine culture (from a recognized laboratory) certifying that the Mare is free of infection and in sound breeding condition. Benbar Farms reserves the right to deny shipment or insemination to the Mare if Benbar Farms has reasonable doubts as to the ability of the Mare to carry a foal to full-term.
2) The Mare owner agrees that this contract is only applicable for the above identified breeding season, and the subsequent breeding season only as the included guarantee describes.
3) Should the Mare owner choose to assign its rights under this contract to another, the Mare owner is required to give the Stallion owner notice of this transfer. Any transfer of this contract must be agreed to by Benbar Farms in order for the contract to be honored. Benbar Farms agrees not to unreasonably withhold their approval of this contract. Any transfer of the rights given within this contract will not constitute a renewal of the contract. Any time limitations stated within this contract will be assumed by the new contract holder. The Mare owner will still be liable for all unpaid fees assumed prior to the transfer of this contract. Transfer of this contract will not release the Mare owner from any obligations that the Mare owner may owe to Benbar Farms.
5. SHIPMENT AND LIMITATIONS
The Stallion owner assumes responsibility only to ship live semen, or frozen semen at the Stallion owner's request, in viable condition to the Mare owner. The Stallion owner will ship semen up to two times per estrus cycle at times arranged with the designated veterinarian and will repeat shipment for up to three estrus cycles. Benbar Farms assumes responsibility only to inseminate live semen, or frozen semen at the Stallion owner's request, in viable condition for mares that are to be bred at Benbar Farms. The Stallion owner will provide semen for two inseminations per estrus cycle, and repeat these inseminations for up to three estrus cycles. Should the Mare not settle after three cycles, the Mare owner shall have the right to substitute a different mare, in which case the mare shall be fully identified, and a new uterine culture and veterinarian exam, pursuant to the above conditions of this contract, must be forwarded and approved by the Stallion owner before insemination may take place. The Stallion owner reserves the right to refuse the substitute mare if the Stallion owner has reasonable doubts as to the substitute mare's suitability for breeding. Benbar Farms will breed mares and ship semen commencing on or after February 1st, and will continue to until the close of breeding season on August 1st.
IN THE EVENT OF MULTIPLE FOALS RESULTING FROM EMBRYO TRANSFER, THE STALLION OWNER WILL REGISTER ONLY ONE FOAL FOR EACH PAID STUD FEE.
6. SERVICE GUARANTEE
In the event that in the above identified breeding season, the Mare fails to become pregnant, and/or if she fails to produce a live foal as certified by a veterinarian, the Mare owner may have semen shipped the season following the original breeding season only, for the Mare or a substitute mare, pursuant to the conditions of this contract, without incurring any additional Stud Fees. For this guarantee to apply, all other conditions of the agreement must have been met during the original breeding season, including but not limited to the veterinary exam, culture, shipping and handling costs. This guarantee shall not apply unless:
1) Benbar Farms is notified within forty-eight hours of delivery of the aborting foal or foal's death; and,
2) A statement by a licensed veterinarian follows within ten days setting forth the details thereof and certifying the foal's death.
Should the above named Stallion die or become unfit for service before the first shipment or insemination of semen occurs, this contract becomes null and void and the Mare owner may be refunded any money paid to the Stallion owner. Should the Stallion die or become unfit for service after semen has been shipped or insemination has occurred, then the Mare owner will not be able to refund any monies paid to the Stallion owner. In the event that the Stallion die, frozen semen, if available, may be used at the Stallion owner's discretion to fulfill this contract
